Terms of Service

1. Acceptance of Terms

By downloading, installing, or using Yumei ("the App" or "the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Yumei ("we," "us," or "our").

2. Description of Service

Yumei is an AI-powered Mandarin Chinese language learning platform. The Service includes smart flashcard review using spaced repetition (FSRS), AI-powered voice conversation practice, and pronunciation shadowing exercises. The Service uses your device microphone to enable voice-based features. AI-generated content including conversation responses, vocabulary suggestions, and feedback is produced algorithmically and may not always be accurate.

3. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this requirement. Users in jurisdictions requiring a higher minimum age for data processing consent (including EU member states under GDPR) must meet that higher age requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

4. User Accounts

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized use of your account
• We reserve the right to refuse registration or cancel accounts at our discretion

5. Subscriptions and In-App Purchases

5a. Yumei Pro Subscription

Yumei offers an auto-renewable subscription ("Yumei Pro") that unlocks AI Conversation and Precision Shadowing features, subject to a usage budget that refills every four (4) hours.

The following terms apply to all auto-renewable subscriptions:

• Payment will be charged to your app store account at the confirmation of purchase
• Your subscription automatically renews unless it is canceled at least 24 hours before the end of the current period
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the rate of your selected plan
• You can manage your subscription and turn off auto-renewal at any time through your device's app store account settings
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription

Subscription prices are displayed at the point of purchase and may vary by region. We reserve the right to change subscription pricing with reasonable notice.

5b. Usage Budget and Extra Credits

Yumei Pro includes a usage budget that refills every four (4) hours. This budget governs access to AI Conversation and Shadowing features. Once your usage budget is depleted, you may either wait for it to reset or purchase additional credits ("Extra Credits") as consumable in-app purchases.

Extra Credits:

• Are consumable and non-refundable once used
• Do not expire and roll over indefinitely
• Are consumed only after your Pro session budget is depleted
• Are separate from and supplemental to your Pro subscription

The rate at which credits are consumed depends on the length and type of AI session. Credit consumption rates are displayed within the App.

5c. Free Tier

The Free tier includes access to Smart Flashcards, the Complete Dictionary, Deck management, HSK tracking, and Deep Insights. AI Conversation and Precision Shadowing require a Yumei Pro subscription.

6. Payments and Refunds

All payments are processed by the app store provider (Apple App Store or Google Play Store), with subscription and purchase status managed through RevenueCat. We do not collect or store full payment card, bank account, or app store billing credentials directly. All purchases are subject to the respective app store's payment terms and refund policies. To request a refund, visit your device's app store support page (reportaproblem.apple.com for Apple, or play.google.com for Google). We are unable to issue refunds directly.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the integrity or performance of the Service
• Upload or transmit malicious code, viruses, or harmful content
• Use the Service to harass, abuse, or harm other users
• Scrape, crawl, or otherwise extract data from the Service by automated means
• Use the Service in any manner that could damage, disable, or impair the Service

8. Microphone and Voice Data

AI Conversation and Shadowing features require microphone access. By enabling these features, you consent to the collection and processing of your voice input for the purpose of:

• Speech-to-text transcription using Yumei-operated SenseVoice systems
• AI conversation processing using AWS-hosted language model services
• Pronunciation analysis and feedback

Voice input, audio, and transcripts are processed, retained, and deleted in accordance with our Privacy Policy. You may revoke microphone permission at any time through your device settings, which will disable voice-based features.

9. AI-Generated Content

The Service uses artificial intelligence to generate conversation responses, vocabulary scaffolding, and learning feedback. You acknowledge that:

• AI-generated content may contain errors, inaccuracies, or inappropriate material
• AI content is not a substitute for instruction by a qualified language educator
• We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content
• We are not responsible for any decisions made based on AI-generated content

10. Intellectual Property

All content, features, and functionality of the Service — including but not limited to software, text, graphics, logos, and audio — are owned by or licensed to Yumei and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works from any part of the Service without our express written permission.

User-generated content (such as custom decks or notes) remains your property. By submitting content to the Service, you grant us a limited license to store and display that content solely for the purpose of providing the Service to you.

11. Privacy and Data

Your use of the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in our Privacy Policy. We comply with applicable data protection laws including GDPR and CCPA where applicable.

12. Third-Party Services

The Service integrates with third-party services including AWS-hosted language model services, text-to-speech providers, cloud infrastructure providers, analytics providers, purchase-management providers, and database-hosting providers such as PlanetScale. Speech-to-text transcription is handled by Yumei-operated SenseVoice systems. Your use of integrated third-party services is subject to those providers' terms and privacy policies. We are not responsible for the practices of third-party service providers.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT, INCLUDING AI-GENERATED CONTENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YUMEI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. You may delete your account at any time through the App settings.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations.

You agree to resolve disputes with us on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes through the App or by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

18. Severability

If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will remain in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Yumei regarding the Service and supersede all prior agreements and understandings.
